1. Overview & Acceptance
These Terms of Use ("Terms") govern your use of Study Share LLC's ("Study Share," "we," "our") websites, services, mobile experiences, and voice-enabled tools. By accessing studyshare.app or any related features, you agree to these Terms and to the policies referenced here.
If you are using the services on behalf of a school or organization, you confirm that you have authority to bind that entity. If you do not agree, you may not use Study Share.
PLEASE NOTE THAT YOUR USE OF AND ACCESS TO OUR SERVICES ARE SUBJECT TO THE FOLLOWING TERMS; IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS THE SERVICES IN ANY MANNER.
ARBITRATION NOTICE AND CLASS ACTION WAIVER: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION AGREEMENT SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
2. Accounts & Eligibility
- Study Share is available only to individuals 13 years of age or older.
- Students under 18 must obtain permission from a parent or guardian before purchasing premium plans or enabling paid add-ons.
- You are responsible for safeguarding your account credentials and for all activity that occurs under your login.
- We may suspend or delete accounts that violate these Terms, applicable law, or our Community Guidelines and Honor Code.
3. Google Sign-In & OAuth
When you choose Google Sign-In, Study Share uses Google OAuth solely to verify your identity and create or access your account.
- Google provides us with your Google account ID, email, display name, and avatar. We do not receive your Google password or the contents of Gmail, Drive, Classroom, or other Google products.
- These fields are stored in our authentication provider (Supabase) to keep you signed in, prevent fraud, and prefill your profile. Tokens are used only for authentication and are not shared with advertisers.
- You may disconnect Google by deleting your account (where available) or emailing team@studyshare.app to remove the Google identity and related tokens.
- We follow the Google API Services User Data Policy, including the Limited Use requirements for Google user data.
4. Description of Services
Study Share provides, among other things:
- AI-powered explanations, diagnostic tools, and practice tests for standardized exams.
- Advanced AI features including image processing capabilities that can analyze and explain visual content.
- Optional voice mode features that convert speech-to-text (STT) and text-to-speech (TTS) to keep your hands free while studying.
- Dashboards, analytics, and chat summaries to monitor your progress.
Study Share LLC continually improves the platform and may add, modify, or remove features at any time. We will not materially reduce paid features without reasonable notice.
5. Voice Mode & Chat Summary
When you enable voice mode you allow Study Share to process speech so we can provide hands free explanations:
- Speech is captured on your device, encrypted, and sent to our AI speech service provider for transcription. Only the text transcript is stored.
- Text-to-speech playback is generated on demand and is not retained after playback. Audio is never stored or replayed by default.
- Transcripts appear inside the chat summary as timestamped user and assistant turns so you can revisit prior explanations. This chat summary is stored server-side and synced across devices.
- Voice mode currently supports English. Filler words and background noise are removed to keep the chat summary clean and focused.
- It is your responsibility to ensure you have the right to speak aloud any content processed by voice mode and to keep sensitive information out of recordings.
6. Community Standards & Honor Code
You agree to maintain a respectful, academically honest environment. Prohibited conduct includes:
- Using AI features to obtain or distribute exam answers, test keys, or other materials that violate school or testing policies.
- Harassing, bullying, threatening, or discriminating against other users, including via voice mode.
- Misusing AI explanations or chat summaries to generate harmful, infringing, or deceptive content.
- Using AI features to process or share content that you do not own or lack permission to use.
- Interfering with the platform through bots, scraping, or denial-of-service attacks.
Study Share LLC may remove content, suspend accounts, or report activity to schools or authorities when necessary to enforce these rules.
7. User Content & AI Interactions
You retain ownership of content you create or share through Study Share. When you use our AI features, including image processing, you grant Study Share LLC a limited license to process that content to provide the requested services. We do not claim ownership of your content.
You represent that you have all necessary rights to use any content you submit for AI processing and that such content does not infringe any third-party rights. See Section 11 for DMCA procedures.
8. Payments & Subscriptions
- Paid plans renew automatically unless canceled before the renewal date. You can manage billing inside your profile or by contacting support.
- Fees are processed by our third-party payment provider. Taxes may apply based on your location.
- Refund requests are evaluated in good faith and may be denied for accounts that engaged in policy violations or excessive content downloads.
9. Service Providers & Third-Party Tools
Study Share LLC relies on vetted service providers to operate the platform. These include:
- A managed database and authentication provider that secures user sessions and files.
- A cloud hosting provider that delivers the web application and APIs.
- AI and speech providers that power practice explanations, STT, TTS, and voice analytics.
- An analytics provider that aggregates usage and performance metrics.
- Payment, communication, and support providers that process transactions and support tickets.
Each provider is bound by contractual safeguards and may use your data only to provide services to Study Share.
10. Privacy & Data Protection
Our collection and use of personal data is described in the Privacy Policy and Cookie Policy. Voice transcripts are stored as chat summaries with timestamps; audio is not retained by default. Google sign-in data is handled as described in Section 3 in line with the Google API Services User Data Policy (Limited Use). We follow U.S. data protection laws and, where applicable, the rights provided by other jurisdictions.
11. Intellectual Property & DMCA
Study Share respects the intellectual property rights of others and expects users to do the same. In accordance with the Digital Millennium Copyright Act (DMCA), we respond to valid notices of alleged copyright infringement.
Submitting a DMCA Takedown Notice
If you believe material available through the Services infringes your copyright, you may submit a written notification including:
- A physical or electronic signature of the copyright owner or authorized agent
- Identification of the copyrighted work claimed to have been infringed
- Identification of the allegedly infringing material and sufficient information to locate it (URL or in-app location)
- Your name, mailing address, telephone number, and email address
- A statement that you have a good faith belief the use is not authorized by the copyright owner, its agent, or the law
- A statement made under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner

Counter-Notice
If you believe content was removed or disabled by mistake or misidentification, you may submit a counter-notice including:
- Your physical or electronic signature
- Identification of the removed material and where it appeared before removal
- A statement under penalty of perjury that you have a good faith belief the removal was the result of mistake or misidentification
- Your name, address, telephone number, and a statement consenting to jurisdiction in a U.S. federal court
Repeat Infringers
We may suspend or terminate accounts of users who are determined to be repeat infringers.
12. Suspension & Termination
Study Share LLC may suspend or terminate your account at any time if we reasonably believe you violated these Terms, engaged in fraud, or harmed other users. You may stop using the services at any point. Certain provisions (including Sections 6 through 13) survive termination.
13. Disclaimers & Limitation of Liability
- Study Share services are provided "as is" without warranties of any kind, either express or implied.
- We do not guarantee score improvements, admission outcomes, or uninterrupted availability.
- To the fullest extent permitted by law, Study Share LLC's total liability for any claim arising from the services is limited to the amount you paid for the applicable subscription in the 12 months preceding the claim.
14. Indemnification
You agree to defend, indemnify, and hold harmless Study Share LLC and its team members from any claims, losses, liabilities, and expenses arising out of your content, your use of the services, or your violation of these Terms or applicable law.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. You agree to resolve disputes in state or federal courts located in Delaware, unless a separate written agreement specifies a different forum. We encourage you to contact us first so we can resolve issues informally.
